These Terms of Conditions ("Terms", "Terms and Conditions") govern your relationship with the Dizz Studio website (the "Service") and our web design, development, and digital marketing services. By accessing or using the Service, or by engaging us for services, you agree to be bound by these Terms. Dizz Studio provides custom web design, web development, branding, and digital marketing services (the "Services"). The specific scope, timelines, deliverables, and fees for any project will be outlined in a separate Statement of Work (SOW), proposal, or contract signed by both parties.

Payment terms will be specified in the project proposal or contract. Typically, a non-refundable deposit is required before work commences, with subsequent milestone payments or a final payment due upon project completion and before final files/sites are transferred to your live server. Late payments may incur interest charges and result in the suspension of services.

4. Intellectual Property

Upon receipt of full and final payment, you will own the rights to the final deliverables as outlined in the contract. However, Dizz Studio retains the right to use the completed project, as well as any preliminary designs or concepts, in our portfolio, case studies, marketing materials, and award submissions. Pre-existing assets and proprietary code frameworks remain the property of Dizz Studio or their respective owners.

5. Warranties and Disclaimers

Our Services are provided on an "AS IS" and "AS AVAILABLE" basis. While we strive to deliver high-quality code and design, Dizz Studio does not warrant that the website will be entirely error-free or uninterrupted. Furthermore, regarding digital marketing and SEO services, we make no guarantees regarding specific search engine rankings, traffic increases, or financial returns, as these are dependent on third-party algorithms and market factors beyond our control.

6. Limitation of Liability

In no event shall Dizz Studio, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any errors or omissions in the content or deliverables; or (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory.

Either party may terminate a project or agreement if the other party breaches these Terms and fails to cure the breach within a reasonable period. In the event of termination by the client, Dizz Studio shall retain the non-refundable deposit and be compensated for all work completed up to the date of termination.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Dizz Studio operates, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
